Electronic Signatures and Records Act
Section 304 gives electronic signatures the same validity and effect as handwritten signatures, unless otherwise provided by law. Statutory exceptions apply; applicability depends on the document and context.

INSTITUTIONAL INSTRUMENT
Define a shared exploratory framework: areas of interest, institutional dialogue and possible next steps.
The final scope and wording are agreed with each counterparty. This page explains the process; it is not an agreement for signature.
MoU
Drafts are shared privately after OBIS review. The final text is subject to negotiation and legal review before signing.
Electronic signing
PandaDoc is the external signing platform used in this process. After both parties approve the text, OBIS prepares the document and sends individual invitations to the designated signatories.
Signing takes place through the private invitation, not on this public page. Public investor access codes do not authorize an agreement or a signature.
OFFICIAL REFERENCES
These sources explain the recognition of electronic signatures and their conditions of use under New York and U.S. federal law.
Section 304 gives electronic signatures the same validity and effect as handwritten signatures, unless otherwise provided by law. Statutory exceptions apply; applicability depends on the document and context.
15 U.S.C. § 7001 provides that a signature or contract in a covered transaction cannot be denied legal effect solely because it is electronic. Other legal obligations remain, with consent and retention requirements where applicable.
Referencing these laws does not certify compliance, imply government approval of OBIS, or guarantee the validity of every agreement. Each instrument requires review of its terms, signatories’ authority and applicable law, including relevant mandatory rules in international relationships.
The initial request authorizes contact about the proposal; it does not sign an NDA or MoU. PandaDoc facilitates signing and its record, but does not replace legal review of the agreement.
